What is Aurora TIC?

Aurora TIC is a Testing, Inspection & Certification (TIC) industry consolidation venture. We acquire and partner with independent testing laboratories to build a unified North American TIC platform. We are not a testing laboratory ourselves — we are the consolidation vehicle that brings independent labs together.

How does the lab acquisition process work?

Our acquisition process typically takes 60–90 days from initial contact to closing. Step 1: Discovery call to assess fit. Step 2: Non-disclosure agreement and preliminary financial review. Step 3: Letter of Intent (LOI) with indicative valuation. Step 4: Due diligence (financial, operational, accreditation). Step 5: Definitive purchase agreement and closing. We prioritize operational continuity — lab staff, clients, and culture are preserved post-acquisition.

What types of labs does Aurora TIC acquire?

We target independent testing laboratories with: $1M–$10M in annual revenue, ISO 17025 accreditation (preferred but not required), established client relationships in supplements, cosmetics, food, or environmental testing, North American operations (US & Canada), and a motivated seller — typically a founder approaching retirement or seeking liquidity.

How are labs valued?

We value labs primarily on EBITDA multiples, typically 3–5x trailing twelve-month EBITDA. Factors that increase valuation: ISO 17025 accreditation, recurring revenue from long-term clients, proprietary testing methods, specialized equipment, and strong management teams willing to stay post-acquisition. We also consider revenue growth trajectory and market position.

What investment opportunities are available?

How can I partner with Aurora TIC without selling my lab?

Our Partner Labs program allows independent testing laboratories to join the Aurora TIC network without a full acquisition. Partner labs gain access to our cross-referral network, shared marketing resources, and accreditation consulting — in exchange for a revenue-sharing arrangement on referred business. This is ideal for labs that want the benefits of network membership while maintaining full ownership.

Does Aurora TIC operate testing laboratories directly?

No. Aurora TIC is a consolidation vehicle — we acquire and partner with existing independent labs. We do not operate testing laboratories directly. Our sister company Qalitex Laboratories is an ISO/IEC 17025 accredited testing facility that serves as a model for our acquisition targets.
